Terms of Service

1. Acceptance of Terms

By accessing or using SignNada ("the Service"), operated by SignNada ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SignNada is an ephemeral document signing service. It allows a sender to upload a PDF document, invite signers, and collect cryptographic signatures. Each signer generates their own signing key in their browser. The signed document is a self-contained verification artifact. All server-side data associated with a signing session is permanently deleted after completion, expiry, or cancellation.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into agreements to use the Service. By using the Service, you represent that you meet these requirements.

4. Acceptable Use

You agree not to use the Service to:

  • Sign documents that are illegal, fraudulent, or deceptive
  • Impersonate another person or sign on behalf of someone without their consent
  • Upload documents containing malware or malicious content
  • Attempt to circumvent rate limits, security controls, or access restrictions
  • Use automated tools to create signing sessions in bulk
  • Interfere with or disrupt the Service or its infrastructure

5. No Accounts

The Service does not require or support user accounts. Access to signing sessions is controlled by unique links and email verification codes. You are responsible for sharing signing links only with intended signers through secure channels.

6. Document Handling

Documents uploaded to SignNada are encrypted at rest and in transit. Documents are stored only for the duration of the signing session (default: 72 hours). After the signing session is completed, expires, or is cancelled, all server-side copies of the document, encryption keys, and associated metadata are permanently deleted. We do not retain copies of your documents. It is your responsibility to download and retain the signed document.

7. Electronic Signatures

SignNada facilitates the collection of electronic signatures. Each signer generates a unique cryptographic key pair in their browser and signs with their private key, which never leaves their device. The legal validity and enforceability of electronic signatures may vary by jurisdiction, document type, and applicable law. We do not guarantee that signatures collected through the Service will be legally binding in all circumstances. You are responsible for determining whether electronic signatures are appropriate and legally sufficient for your specific use case.

8. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SignNada and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data or documents, arising out of your use of the Service. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless SignNada and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications

We may update these Terms at any time by posting the revised version on this page with a new effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate access to the Service at any time, for any reason, without notice. All active signing sessions may be affected by such termination. Provisions that by their nature should survive termination shall survive, including Sections 8, 9, 10, and 13.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
